General Terms and Conditions (AGB)

§ 1 Scope of Application

(1) These General Terms and Conditions apply to all contracts between Crow Loop Studio (hereinafter the "Provider") and the customer (hereinafter the "Customer") concluded via the Provider's online shop.

(2) Deviating terms proposed by the Customer are not recognized unless the Provider expressly agrees to them in writing.

(3) These Terms and Conditions apply exclusively to business customers (§ 14 BGB).

§ 2 Conclusion of Contract

(1) The presentation of products in the online shop does not constitute a legally binding offer, but a non-binding invitation for the Customer to place an order (invitatio ad offerendum).

(2) By placing an order, the Customer submits a binding offer. The contract is only concluded once the Provider confirms the order or delivers the goods.

(3) The Provider stores the contract text and sends it to the Customer by email after the contract is concluded.

§ 3 Prices and Payment

(1) All stated prices are net prices plus statutory value-added tax.

(2) Additional delivery and shipping costs are shown separately.

(3) The following payment method is accepted: bank transfer.

(4) In the event of late payment, the Provider is entitled to charge default interest of 9 percentage points above the base rate (§ 288 BGB).

§ 4 Delivery and Shipping

(1) Delivery takes place by arrangement, after payment has been received.

(2) The delivery area covers: worldwide.

(3) The risk of accidental loss passes to the Customer upon handover to the carrier.

(4) Partial deliveries are permitted where reasonable for the Customer.

§ 5 No Right of Withdrawal

For contracts between businesses (B2B), there is no statutory right of withdrawal.

§ 6 Warranty

(1) The statutory warranty rights apply.

(2) The warranty period is 12 months from delivery (by agreement, per § 438 BGB).

(3) Obvious defects must be reported in writing within 7 working days of delivery (§ 377 HGB).

§ 7 Liability

(1) The Provider is liable without limitation for intent and gross negligence.

(2) For slight negligence, the Provider is liable only for breach of material contractual obligations (cardinal obligations), limited to the foreseeable damage typical for this type of contract.

(3) The above limitations of liability do not apply to damages arising from injury to life, body, or health, or to claims under the Product Liability Act.

§ 8 Data Protection

The processing of personal data is carried out in accordance with our Privacy Policy and in compliance with the GDPR and the German Federal Data Protection Act (BDSG).

§ 9 Final Provisions

(1) The law of the Federal Republic of Germany applies, excluding the UN Convention on Contracts for the International Sale of Goods (CISG).

(2) The place of jurisdiction for all disputes is Bonn, provided the Customer is a merchant.

(3) Should individual provisions of these Terms and Conditions be invalid, the validity of the remaining provisions is unaffected.

§ 10 Online Dispute Resolution

We are willing to take part in an out-of-court dispute resolution procedure before a consumer arbitration board. The competent body is the General Consumer Arbitration Board of the Center for Conciliation (Allgemeine Verbraucherschlichtungsstelle des Zentrums für Schlichtung e.V.).
